Naturallow Affiliate Program Terms & Conditions

These Terms and Conditions ("Agreement") govern your participation in the Naturallow LLC Affiliate Program ("Program") as an affiliate ("Affiliate"). By joining the Program, you agree to comply with the terms and conditions outlined in this Agreement. Please read these terms carefully before proceeding.

1. Enrollment in the Program

1.1 Eligibility: To be eligible for the Program, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. Naturallow LLC reserves the right to refuse or terminate the affiliation of any applicant or Affiliate at its sole discretion.

1.2 Application Process: To apply for the Program, you must complete the online application form accurately and provide all required information. Naturallow LLC will review your application and notify you of your acceptance or rejection. We reserve the right to reject any application for any reason.

1.3 Relationship: This Agreement does not create any employment, partnership, joint venture, agency, or franchise relationship between Naturallow LLC and the Affiliate. You are an independent contractor responsible for your own business activities.

2. Affiliate Responsibilities

2.1 Compliance with Laws: As an Affiliate, you must comply with all applicable laws, regulations, and guidelines related to your participation in the Program, including but not limited to marketing practices, data protection, and privacy laws.

2.2 Referral Links: Upon acceptance into the Program, Naturallow LLC will provide you with unique referral links to track sales and commissions. You are responsible for ensuring the correct implementation and usage of these referral links. You may not modify the links or mislead users in any way regarding the destination or purpose of the link.

2.3 Marketing Practices: When promoting Naturallow LLC products or services, you agree to use ethical and lawful marketing methods. You must not engage in spamming, misleading advertising, or any other activity that may harm Naturallow LLC's reputation.

2.4 Compensation: As an Affiliate, you are entitled to receive a commission from the net sales generated through your referral links. Net sales exclude taxes, shipping fees, refunds, and chargebacks. Commissions will be paid out on a regular basis at the agreed upon percentage as outlined in Section 3. 

2.5 Reporting and Tracking: Naturallow LLC will provide you with access to an online Affiliate dashboard where you can track your referred sales and commissions. It is your responsibility to regularly review and verify the accuracy of the provided information.

2.6 Intellectual Property: Naturallow LLC grants you a limited, non-exclusive, non-transferable right to use its logos, trademarks, and other promotional materials solely for the purpose of promoting Naturallow LLC's products or services in connection with the Program. Any unauthorized use or modification of Naturallow LLC's intellectual property is strictly prohibited.

3. Commissions and Payments

3.1 Commission Structure: You will earn a commission of 10% on the net sales generated through your referral links. The Referral/Cookie Expiry is 30 days. Naturallow LLC reserves the right to modify the commission structure at any time and will notify you in advance of any changes.

3.2 Payment Schedule: Commissions will be paid on a monthly basis, within 30 days following the end of each calendar month. The minimum payout threshold is $50. If your commission balance does not reach the minimum threshold in a given month, the balance will roll over to the next month.

3.3 Payment Method: Naturallow LLC will pay commissions via the payment method specified in your Affiliate account. It is your responsibility to ensure that your payment details are accurate and up to date.

3.4 Taxes: You are responsible for all taxes, including income taxes, associated with the commissions you earn through the Program. Naturallow LLC will not withhold any taxes on your behalf.

4. Termination

4.1 Termination by Either Party: Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, you will no longer be eligible for commissions on subsequent sales.

4.2 Termination for Breach: Naturallow LLC may terminate your participation in the Program immediately if you breach any provision of this Agreement or engage in any activity that may harm Naturallow LLC's reputation or business.

4.3 Effects of Termination: Upon termination, you must cease all use of Naturallow LLC's intellectual property and remove all promotional materials and links from your websites, social media profiles, and other marketing channels.

5. Limitation of Liability

To the maximum extent permitted by law, Naturallow LLC shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement, including but not limited to lost profits, business interruption, or loss of data.

6. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Naturallow LLC is located. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

7. Amendments

Naturallow LLC reserves the right to modify or amend this Agreement at any time. Any changes will be effective immediately upon posting the revised Agreement on Naturallow LLC's website. You are responsible for regularly reviewing the Agreement to stay informed of any updates.

By joining the Naturallow LLC Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
